Niusleters Terms of Use

These Terms of Use govern access to and use of Niusleters, the platform that connects brands looking to sponsor newsletters with the people who write them. By registering and using the platform you accept these terms in full.

From here on, Niusleters refers to the website, the application and the newsletter associated with them.

1. What Niusleters is and what it is not

Niusleters is an intermediary. We put both parties in touch, provide the space where the sponsorship is negotiated, handle collection and payment, issue the corresponding invoices and keep a record of what was agreed and of the published results.

Niusleters is not a party to the advertising agreement itself. The sponsorship content, its wording, its publication date and its performance are the responsibility of the brand and the newsletter that agree on it. Niusleters does not guarantee specific commercial results from a publication.

2. Who can register

Anyone over 18 with the legal capacity to enter into contracts may register, either personally or on behalf of a company. By registering you confirm that the information you provide is accurate and that you will keep it up to date, especially your tax details, since those are the ones that appear on invoices.

Each account is personal. You are responsible for keeping your credentials confidential and for any activity carried out from your account.

3. How a sponsorship works

A brand can propose a sponsorship to a newsletter, and a newsletter can offer itself to a brand. The proposal includes a price and, usually, a publication date. Both parties can negotiate those terms through the messages within the proposal itself.

Once the proposal is accepted, the brand pays through the platform. The newsletter does not have to publish anything until that payment is confirmed, and that is exactly the mechanism that guarantees it gets paid. After publication, the newsletter provides the metrics and the screenshots evidencing the send, and the platform releases the corresponding payment.

A proposal may be postponed by mutual agreement or cancelled before acceptance. Proposals that receive no response expire automatically after a period of time.

4. Commission and invoicing

Registering and using the platform is free. Niusleters charges a commission only when a sponsorship closes successfully. The applicable percentage is the one shown on the platform at the moment the proposal is accepted, and it is always broken down before confirming, so each party knows exactly how much it pays or receives.

The newsletter invoices the full sponsorship amount and Niusleters issues a separate invoice for its commission. Both documents remain available in the sponsorship record.

5. Closing agreements on the platform

The service Niusleters provides is having put both parties in touch and then sustaining everything that makes the agreement viable, payment handling, invoice issuing, metrics recording and the payment guarantee for whoever publishes. The commission pays for that service.

For that reason, when a brand and a newsletter meet through Niusleters, both undertake to manage the sponsorship on the platform. Specifically, for twelve months following their first contact on Niusleters, the parties will not close between themselves, whether directly or through third parties, sponsorships arising from that contact without the agreement going through the platform.

This does not prevent exchanging contact details when the agreement itself requires it, for example to arrange a physical product shipment, review a draft or resolve an incident. What is not allowed is using that contact to take a sponsorship originated on Niusleters off the platform.

Prior and demonstrable commercial relationships between a brand and a newsletter, predating their contact on Niusleters, are expressly excluded from this clause.

In the event of a breach, Niusleters may claim the commission amount that would have applied, suspend the account or terminate access, depending on the seriousness of the case.

6. Brand obligations

  • Provide the sponsorship material (copy, images and links) sufficiently ahead of the agreed date.
  • Respond to proposals and messages within a reasonable time, whether the answer is yes or no.
  • Ensure the published content is lawful, accurate and does not infringe third-party rights.
  • Pay for the sponsorship through the platform once the proposal is accepted.

7. Newsletter obligations

  • Keep the newsletter details up to date, especially subscriber count and open rate, since those are the basis on which brands decide.
  • Publish the sponsorship on the agreed date and in the agreed format.
  • Provide the real metrics and the screenshots evidencing the send after publication.
  • Do not inflate audiences or results. Falsifying this data is grounds for account termination.

8. Content that is not allowed

You may not promote or publish unlawful or misleading content, content inciting hatred or violence, content infringing intellectual property rights, or products and services whose advertising is prohibited or restricted by applicable law. Niusleters may withdraw a proposal or suspend an account when it detects this kind of content.

9. Cancellations and postponements

Before acceptance, either party may withdraw or reject a proposal at no cost. Once accepted and paid, if the publication does not take place for reasons attributable to the newsletter, the amount paid is refunded to the brand. If the cancellation comes from the brand with the material already delivered and the date reserved, Niusleters will mediate between both parties to find a reasonable solution, which may involve moving the publication to a later date.

10. Liability

Niusleters takes reasonable measures to keep the platform available and working properly, but cannot guarantee it will be free from interruptions or errors. Niusleters is not liable for the commercial performance of a sponsorship, for the content published by brands or newsletters, or for agreements the parties close outside the platform.

11. Suspension and account closure

You can close your account at any time from your profile. Niusleters may suspend or terminate an account that breaches these terms, provides false information or harms other users. Payment obligations outstanding at the time of closure remain enforceable.

12. Intellectual property

The Niusleters brand, design and software belong to the platform. The content each party uploads remains theirs, and by uploading it they grant Niusleters the permission needed to display it within the platform in order to provide the service.

13. Personal data

The processing of personal data is governed by the Privacy Policy, which forms part of these terms.

14. Governing law

These Terms of Use are governed by Spanish law. For any dispute, the parties submit to the courts and tribunals designated by the applicable regulations.

15. Changes

Niusleters may amend these Terms of Use to reflect changes in the service or in applicable regulations. Changes will be communicated and become binding once published on this page. We recommend reviewing it regularly.
